How this website may be used, and the general conditions that apply when you ask Toshworld to quote for or produce a project.

01 Introduction

These Terms govern your use of the Toshworld Resources International website and establish general conditions applicable when enquiring about or engaging Toshworld for services.

By using this website or engaging Toshworld to provide services, you agree to comply with the terms applicable to your interaction or project.

Specific quotations, invoices, agreements or project terms provided by Toshworld may contain additional conditions. Where applicable, those project-specific terms will also govern the relevant transaction.

02 Our Services

Toshworld provides services across areas including:

The exact scope, specifications, quantity, materials, timeframe and price of a project will normally be established through a quotation, invoice, order confirmation or other written communication.

03 Quotations

Quotations are prepared based on the information supplied by the customer.

Changes to specifications, quantities, dimensions, materials, design requirements, delivery requirements or other aspects of a project may result in a revised price or completion timeframe.

A quotation does not necessarily constitute acceptance of a project until any required approval, payment or other agreed condition has been satisfied.

04 Customer Approval

Where Toshworld provides a design or proof for approval, customers are responsible for carefully checking:

  • Names
  • Telephone numbers
  • Dates
  • Addresses
  • Prices
  • Spelling
  • Images
  • Dimensions
  • Quantities
  • Colours
  • Other project information

Once a customer approves a final design or proof for production, Toshworld may proceed based on that approval.

Corrections or reprinting required because of an error that was visible in and approved on the final proof may result in additional charges.

05 Customer-Supplied Artwork

Customers are responsible for ensuring artwork and files they provide are correct, sufficiently high quality and legally authorised for the intended use.

Where supplied files require redesign, correction, recreation or substantial adjustment before production, additional design charges may apply where agreed.

06 Colour and Production Variations

Colours displayed on phones, monitors and other digital screens may differ from colours produced through physical printing.

Minor variations may also occur between materials, machines, print processes or separate production batches.

Such reasonable production variations do not necessarily constitute defects.

07 Payment

Payment requirements will be communicated through the applicable quotation, invoice or project agreement.

Where a deposit or advance payment is required, production may not commence until the required payment has been received or otherwise confirmed.

Outstanding balances must be settled according to the agreed payment terms.

08 Production and Delivery Times

Toshworld aims to complete projects within agreed or estimated timelines.

Completion dates may be affected by circumstances including delayed customer approval, specification changes, material availability, equipment issues, delivery disruptions or circumstances reasonably outside our control.

Where a deadline is critical, customers should communicate it clearly before approving the project.

09 Changes and Cancellation

Requests to modify or cancel a project should be communicated as early as possible.

Once design work, procurement, printing, production or other work has commenced, amounts already spent or work already completed may not be refundable.

Any additional work resulting from changes after approval may be charged separately.

10 Intellectual Property

Customers retain rights they legitimately hold in materials they provide to Toshworld.

Unless otherwise agreed in writing, Toshworld retains ownership of its pre-existing intellectual property, processes, systems, templates and other proprietary materials.

Rights relating to custom creative work will be determined by the applicable quotation, invoice or project agreement.

Customers must not submit materials that unlawfully infringe another person’s copyright, trademark or other rights.

11 Portfolio and Promotional Use

Toshworld may wish to photograph or display completed work as examples of its capabilities.

Where a project contains confidential, private or sensitive information, customers should notify Toshworld accordingly.

For projects where client identification, private information or publicity rights are involved, Toshworld should obtain appropriate permission before publishing identifying information.

12 Website Use

You agree not to use the Toshworld website to:

  • Engage in unlawful activity
  • Attempt unauthorised access to the website or its systems
  • Upload malicious software or harmful content
  • Interfere with website operation or security
  • Submit fraudulent information
  • Infringe intellectual property or other rights

14 Limitation of Liability

To the extent permitted by applicable law, Toshworld will not be responsible for indirect or consequential losses arising from use of the website or services where such losses are outside Toshworld’s reasonable control.

Nothing in these Terms is intended to exclude or limit any right or liability that cannot legally be excluded or limited.

15 Governing Law

These Terms are governed by the applicable laws of the Federal Republic of Nigeria.

Any dispute should first be addressed in good faith between the customer and Toshworld with the aim of reaching a reasonable resolution before further legal action is considered.

16 Changes to These Terms

Toshworld may update these Terms as the website, services or business operations evolve.

The latest version will be published on this website with the applicable revision date.
